Reminder: SEC and EDGAR are closed Monday, January 16 for Martin Luther King Day

The SEC will be closed on Monday, January 16, 2012 in observance of Martin Luther King Day. With the EDGAR system closed, filers will not be permitted to submit filings to the EDGAR system. Filings submitted after 5:30 pm EST, Friday January 13, 2012, will be disseminated Tuesday January 17, 2012 at 6:00 am and receive a January 17, 2012 filing date.

The following Form Types are exceptions and are accepted by EDGAR until 10:00 p.m. ET Friday, January 13, 2012, receiving a same day filing date.

Section 16 filings (3, 3/A, 4, 4/A, 5, 5/A)
CORRESP filings (not immediately disseminated to the public)

If a filing due date falls on a weekend or SEC holiday, the filing due date will fall on the following business day pursuant to Securities Exchange Act of 1934 Rule 0-3 (a).

New way to file Section 16 reports

EDGARLink Software being retired by the SEC August 1st

EDGARLink Retirement!!

EDGARLink is moving on-line!! In November 2010, we introduced the new EDGARLink Online Application, an on-line version of the tool that filers use to create their submission documents to be filed with the SEC. This new on-line version has more immediate validation, more user friendly help screens, and eliminates the need for the filer to be concerned with keeping local software and templates up to date. With the introduction of our totally on-line version of EDGARLink, it is time to retire our old client version of the software. The SEC has selected the month of August to turn off the old client EDGARLink tool and accept filings through the EDGARLink Online Application only. Starting Monday, August 1, 2011, filings created by the offline tool EDGARLink client or those constructed by filers according to the EDGAR XFDL Technical Specification will no longer be accepted.

Those filers that use the EDGAR XFDL Technical Specification to create filer-constructed submissions without the use of the EDGARLink tool, and wish to do the same outside of the EDGARLink Online Application, can do so by using the EDGARLink Online XML Technical Specification (see the EDGAR Filer Manual and Technical Specifications section of the Information for EDGAR Filers webpage).

Filers may use the current Filer Support lines (202-551-8900) for assistance.

The SEC will be closed on Monday, January 17, 2011 in honor of the Martin Luther King, Jr. Day holiday. Filers will not be able to to submit EDGAR filings as the system will be closed.

Filings submitted after 5:30 pm ET, Friday, January 14, 2011 will receive a filing date of Tuesday, January 18, 2011 and will be disseminated to the public at 6:00 am ET, Tuesday, January 18, 2011.

SEC Set to Open Up Proxy Process to Shareholders

Shareholders are set to win the right this month to directly nominate directors on corporate ballots, a change that could dramatically change the board selection process at many companies.

The Securities and Exchange Commission is expected to make final a “proxy access” rule, allowing large shareholders to put their own nominees alongside the company’s nominees, people familiar with the matter said.

SOX 404 Auditor Assessment Not Required for Smaller Reporting Companies

On Wednesday, July 21, 2010, the Dodd-Frank Act took effect which, among other measures, exempts smaller reporting companies from the Sarbanes-Oxley (SOX) requirement under Section 404(b) for an auditor report on management’s assessment of internal controls over financial reporting. Under the new law. exempt companies are those that are “non-accelerated filers” which are defined by the SEC as company with non-affiliated market capitalization under 75 million or more, measured at the end of the previous year’s second quarter.
